The following are key members of our guild. Members of the Privy Council help to keep our guild functioning and serve as our Board of Directors. Members of the Council are elected from and by the membership annually in accordance with the Bylaws.

Heraldic Badge of the Guild Master

Duties of the Guild Master Bylaws Article VI Section 1: 

 

Section 1. GuildMaster

The GuildMaster shall be the Chief Executive of the Guild and shall serve a life term. The GuildMaster cannot be removed from office except by resignation or leave of absence. If a leave is needed the Assistant Guild Master will fill the role. The GuildMaster shall be Founder Spencer M Dayton.

The GuildMaster shall have the following duties:

   a) They shall preside at all Privy Council meetings of the Guild

   b) They shall have general superintendence and direction of all other officers of this corporation and see that their duties are properly performed.

   c) They shall submit a report of the operations of the program for the fiscal year to the Privy Council and the membership at their annual meetings, and from time to time, shall report to the Privy Council all matters that may affect this program.

   d) They shall be Ex-officio member of all standing committees and shall have the power and duties usually vested in the office of the GuildMaster

Duties of the President of the Council Article VI Section 2: 

 

Section 2. President of the Council

The President shall have the following duties:

   a) They shall preside at all meetings of the Membership.

   b) They shall have general and active management of the business of the Privy Council. They shall see that all orders and resolutions of the Council are brought to the Membership

   c) They shall be Ex-officio member of all standing committees and shall have the power and duties usually vested in the office of the President

Duties of the Assistant Guild Master Bylaws Article VI Section 3: 

 

Section 3. Assistant Guild Master (First Vice-President)

The Assistant Guild Master (First Vice-President) shall be vested with all the powers and shall perform all the duties of the President during the absence of the latter. Assistant Guild Master (First Vice-President) duties are:

   a) They shall have the duty of chairing their perspective committee and such other duties as may, from time to time, be determined by the Privy Council.

Duties of the Clerk of the Privy Council Bylaws Article VI Section 4: 

 

Section 4. Clerk of the Privy Council The Clerk of the Privy Council shall attend all meetings of the Privy Council, Membership and of the Executive Committee, and all meetings of members, and, will act as a clerk thereof. Their duties shall consist of:

a) They shall record all votes and minutes of all proceedings in a book to be kept for that purpose. They in concert with the GuildMaster shall make the arrangements for all meetings of the Privy Council and membership, including the annual meeting of the organization.

b) They shall keep records of all membership including records of all dues paid YTD.

c) They shall submit to the Privy Council, approval of all expenditures of funds raised, proposed capital expenditures.

d) They shall present a complete and accurate report of the finances raised at each annual meeting of the members, or at any other time upon request to the Privy Council

e) They shall assist in direct audits of the funds of the program according to funding source guidelines and generally accepted accounting principles.

f) They shall perform such other duties as may be prescribed by the Privy Council or the GuildMaster under whose supervision they shall be

g) If the Clerk is absent from a meeting they shall appoint a temporary substitute with the Guild Masters' approval for that particular occasion only

Duties of the Clann Fraser Representative

Bylaws Article VI Section 6: 

​

Section 6. The Representative of Clann Fraser

Remembering that we are a Guild that has many facets, and recognizing the contributions, historical significance and the importance of Clann Fraser a Representative from their Guild shall have a seat on the Privy Council. Generally this shall be the GuildMaster /Mistress or someone they designate.

Their duties shall be:

   a) To provide updates of the membership of Clann Fraser to the Guild

   b) To assist in anyway they may find useful for the betterment of both guilds

Election to the Council Rules

Election of Officers according to the Bylaws Article IV Section 7. 

 

Nominations shall also be received from the floor. The election shall be held at the annual meeting of the Membership. Those officers elected shall serve a term of one (1) year, commencing at the next meeting following the annual meeting. Elections shall following the usual format in RONR, newly revised.
